Atlas Precious Metals Inc. corporate management team is based in Tucson, Arizona. Senior managers travel frequently between its headquarters in Tucson and offices in Bolivia. The company maintains a Vice President and General Manager of Operations in Bolivia who is one of the most experienced mine managers in Bolivia. Accounting is monitored by outside accounting firms and government reports are prepared and submitted monthly. The Controller, Mr. Daniel Dominguez is based in Tucson and monitors and approves all monthly statements. Accounting complies with Canadian GAAP and outside auditors insure that the company is fully compliant. Engineering is performed under contract with outside engineering firms with basic concept drawings prepared by our Staff Engineer in Tucson. Where possible, the Company favors lump sum, turn key contracts.

Political relations with the Government of Bolivia at the various levels are the responsibilities of the Vice President and General Manager, reinforced by the President and Executive Vice President through frequent high level meetings. The senior management of the company is bi-lingual, completely fluent in Spanish and highly experienced in operations in Latin American countries.

Management

Mr. H. Roy Shipes, President, CEO and Chairman, has over 30 years experience in the mining industry in senior anagement positions with companies around the world. He has worked extensively in copper, zinc and precious metals, as well as engineering, construction and project development. Positions held include Vice President and General Manager of Southern Peru Copper Company, General Manager and Chief Executive Officer of Ok Tedi Mining Limited, founder and President of American Pacific Mining, Breakwater Resources, Transoceanic Trading Company, Arimetco International, Western States Engineering, Western Gold Resources, Western Chemicals and American International Trading Company.

Mr. John A. McKinney, Executive Vice President and Chief Financial Officer, has performed in senior management positions in the mining industry for the past 15 years. He was president of Arisur, Inc., Senior Vice President and Director of Arimetco International, Director of Breakwater Resources, Transoceanic Trading Company and Western States Engineering. He co-founded Western States Engineering, Western Capital, Suramco Metals, Western Gold Resources and Western Manufacturing.

Mr. Matthew Lang, Vice President Administration, Shareholder Relations and Corporate Secretary, has spent the last five years in Administration and Logistics Management where he coordinates the flow of materials required by on-going operations, from purchasing through delivery. He manages the general administration of the Corporation, including corporate administrative maintenance and reporting, coordinates shareholder meetings, director meetings and manages shareholder relations.

Mr. Daniel R. Dominguez, Controller and Chief Accountant, has spent 16 years in senior accounting positions and has been a partner in his own accounting firm for much of this time. He is fluent in Spanish and has done considerable work for Phelps Dodge in Chile.

Directors

Mr. Gary E. Davis, Director, Chairman of the Nominating Committee, has 28 year experience in the mining and energy sectors around the world. He has extensive experience in gold exploration and production, industrial minerals and precious stones. As president of Atlas Corporation, he was responsible for gold production from the Gold Bar Mine, exploration of the Grassy Mountain property in Oregon, Commonwealth in Arizona, and a myriad of other properties. He acquired and developed the Cornerstone perlite mine of Atlas Industrial Minerals, a wholly owned subsidiary of Atlas Corporation. He directed acquisition of over 1 million ounces of gold reserves and continues as a Director of Atlas Minerals, previously Atlas Corporation. He managed the financial affairs of ArcAngel Diamonds as Chief Financial Officer, a Toronto listed public company. He also served as a director of International Green Ice, Inc., a development stage mineral exploration company, publically listed on the CNDX. During his career, Mr. Davis served in the following positions:

Mr. Richard Ades, Director, Chairman of the Audit Committee , had 25 years experience in the United States Foreign Service followed by 16 years in private industry following his retirement from the United States State Department. He resides in La Paz, Bolivia, and maintains excellent relationships at all levels of the Bolivian government as well as the American Embassy in La Paz. During his diplomatic career, Richard served as Commercial Attache’ in Brazil, the largest Mission in South America, which included five offices (Sao Palo, Rio de Janeiro, Belo Horizante, Belem and Brasilia). HE was responsible for the creation of the U.S. Commercial Center in Sao Paulo, which became a model for similar trade centers throughout the world. Prior to Brazil, he was Commercial Counselor of the U.S. Embassy in Chile where he was instrumental in the creation of EXPOMIN. He was Senior Commercial Officer for the Caribbean Region, Commercial Attache to Venezuela and Commercial Attache’ to Bolivia. During his career, he was also assigned to the U.S. Department of Commerce as Director of Public and Private Initiatives and was Trade Policy Officer for Mexico and Desk Officer for Mexico. Following his retirement from the U.S. State Department, he worked as in senior positions for a number of international level companies to develop Latin American businesses. He co-founded Nitrobol S.A. of Bolivia to industrialize Bolivian natural gas production thru the production of Urea fertilizers. During his career, Richard held the following positions:

Ms. Linda Holmes, Director, is a Director and Corporate Secretary of Ascendant Copper Corporation. She has been a Canadian-U.S. Regulatory Compliance Consultant to public companies since 1996. Prior to that she was Director of Corporate and Public Relations and served as the Compliance Manager for a group of publicly traded mineral exploration and mining companies. Ms. Holmes has served as Corporate Secretary to IGC Resources Inc. (TSXv: IGC), a company engaged in the development of gold projects in Western Australia, since August 16, 2000 and as Director since July 28, 2003.

Dr. Neil Adshead, Director, Dr. Adshead is a Sector Analyst with Passport Capital Corp.  Prior to joining Passport Capital in June of 2004, Dr. Adshead worked in various geological and managerial roles Misima Mines Pty Limited and Placer Dome Inc. from August 1995 to May 2004.  Dr Adshead holds an honors BSc. from Birmingham University, UK (July 1990) and Ph.D from James Cook University, Australia (April 1997). 

Mr. Bruce Reid, Director, Mr. Reid has over 30 years of experience in the mining and mining financing industries. Most recently he was the Vice President of Mining Investment Banking at Research Capital Corporation in Toronto, Ontario. Prior to that, he was the Executive Director of Patricia Mining Corp. ("Patricia Mining") from 2001-2004. During that tenure, Patricia Mining re-opened the underground Island Gold project near Wawa, Ontario. The Island Gold mine is Ontario's newest gold mine with commercial production expected in early 2007. Mr. Reid continues as a Director of Patricia Mining. Prior to his tenure with Patricia Mining, Mr. Reid was a Mining Analyst at various securities firms based out of Toronto analyzing public mining companies for institutional investors. Mr. Reid also worked as an exploration geologist at numerous projects in Northern Canada immediately after graduating with a B.Sc. in geology from the University of Toronto (1979). Mr. Reid also has a finance degree from the University of Windsor (1982). Mr. Reid will dedicate the majority of his business time to the Resulting Issuer.

Mr. Jamie Macintosh, Director, Mr. Macintosh has extensive experience in the Mining Industry working as a geologist and a Mining Analyst. Mr. Macintosh has also served as an executive and a director of numerous public and private companies in Canada and the United States over the past fifteen years, including serving as the President and Chief Operating Officer of Innovium Capital Corp., a company that invests in innovative opportunities, for the past eight years.
